Microsoft and OpenAI have finalized a landmark agreement that will allow OpenAI to restructure as a public benefit corporation (PBC), removing prior fundraising constraints and giving CEO Sam Altman greater flexibility to drive growth across the AI sector.
This move marks the end of an unusual corporate arrangement that once limited OpenAI’s ability to raise outside capital or engage with other compute providers. By transitioning into a more conventional structure, OpenAI gains new latitude to attract investors, pursue partnerships, and accelerate development without being bound to exclusive Microsoft agreements.
Microsoft Retains Strategic Stake
Under the new framework, Microsoft will maintain a 27 percent ownership stake valued at roughly 135 billion dollars following its 13.8 billion dollar cumulative investment. The arrangement signals a return of nearly tenfold on Microsoft’s capital, reflecting the enormous value created since ChatGPT’s explosive rise.
Although Microsoft relinquishes its exclusive right to provide cloud computing for OpenAI, the two firms remain deeply connected. OpenAI has agreed to purchase approximately 250 billion dollars in Azure cloud services through 2032, continuing a partnership that anchors both companies at the forefront of AI infrastructure.
Power Consolidation and Future Growth
Sam Altman, who will not receive equity in the new entity, continues to lead OpenAI’s mission-driven efforts through the oversight of the OpenAI Foundation, which controls 26 percent of the new PBC. This governance model ensures the nonprofit foundation remains in control while granting the company direct access to capital for research and scaling.
Analysts note that this structure balances innovation with accountability, providing clarity around ownership, governance, and the pursuit of artificial general intelligence (AGI). Once AGI is independently verified, OpenAI and Microsoft are expected to conclude their existing revenue-sharing agreement.
